1 - 6.4.1 is for MIX only, as it states on the download page and the compatibility documents. It will NOT work with HD systems at all.
2 - Regarding the paid upgrades mentioned at the top of this thread...

The $35 upgrades for MIX owners without Pro Tools 6 will be available soon in the online DigiStore, as will the $4.95 update installer CDs for Pro Tools 6 MIX owners that are not able to download."
Expected this week in the main DigiStore, perhaps as early as tomorrow, and on the European DigiStores as soon as the 6.4.1 upgrades arrive there.
All paid upgrades will include the 6.4.1 CD, with the additional option to download immediately.
