Default Upgrade opinions needed

I'm finding my current P3 1ghz rig to be a bit sluggish these days for PT. Reluctantly I'm considering upgrading to a p4 or AMD... I was hoping some of you may offer some suggestions. My goal is to be able to run 32 tracks, and whatever plugins without any cpu errors etc.. if that's possible. Basically I'm looking into a new mobo, cpu, and ram... hoping to stay under $400. Any ideas?
