Because it's not an upgrade, it's lateral movement.

But what about the upgraded pre's and extra headphone out, or new syncing abilities and extra outs?

And if it's a lateral movement then why bring it out? We're supposed to be moving forwards not sideways?

Because marketing got the darn thing named wrong. Instead of calling it OO2 Pro they said, heck with it, lets call it OO3 even though its not a upgrade but just basically a revamped OO2.

Should there not be an upgrade even if it is 002 to "002 Pro"? If the preamps and covertors are vastly improved (don't know how good the 003 is yet) then I'd be interested in upgrading from 002 to 003 (or "002 Pro").

On a related note, is there any place where I can find a clear comparison between the 002 and the 003? I just called my local digi dealer about upgrading from an MBox to the 003 Rack Factory. The guy doesn't yet have any 003 Rack Factories in stock, but has some leftover 002 Rack Factories, which he's selling at a nice discounted rate; $200+ off, and I get to keep the MBox (nice for stereo ambient recordings in a live setting). Question is, will I be regretting this in a few months if I go for it? I have no real need for the new external sync feature. The extra headphone jack is nice, but I have a headphone amp with 4 jacks, so it's not really necessary.

Really, the only thing I care about is the preamps. Are the new ones more or less universally viewed as an upgrade, or is this aspect of the "upgrade" also more of a lateral move, with any preamp preference based more on opinion than actual quality?

Also, if the original poster views this as thread-jacking, I'm happy to create my own thread...
