Default Keep getting "application failed to initialize properly 0xc0000005"

This started off as just PT getting froze when opening certain sessions
then I did the 'trashing preferences" and now everytime I try to launch
PT (8.0.3 LE, on Windows XP) I keep getting that message.
Have also set the DEP on and off, still nothing.
Everything else on my rig is working and launching fine (like Acid)
just not PT, wondering if I should uninstall and reinstall or what?
Thanks in advance, I've already lost 2 work days over this and the sleep in between !!!!
