Pro Tools 8 Crossgrade to 10?

Is it worth the $399? I use an mBox, compose orchestral music, have a series of waves plugins which I cannot update to v9 until I get the PT upgrade, and it would be nice to be on Lion.

But i am wondering if the new PT10 code will eat up my iMac's 4GB of max ram, and if PT10 will give me $399 in benefits -- or if I would be better to give that $399 to waves, east-west, etc.?

I mean, crap, I can buy a full version of logic for what, $199. Yeah it is not a as sophisticated or cross-workable with sessions for PTHd when you need the extra finishing power.

Thoughts?
